By downloading, installing, or using ContentPass (“the App,” “Service,” “we,” “our,” or “us”), you agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, do not use our Service.
These Terms constitute a legally binding agreement between you and ContentPass, Inc. regarding your use of the Service.

2. Eligibility

To use ContentPass, you must:

  • Be at least 13 years old (16 in the European Union)

  • Have the legal capacity to enter into a binding agreement

  • Not be prohibited from using the Service under applicable laws

  • Provide accurate and complete registration information

Parents or guardians may not create accounts on behalf of minor children.

3. Account Registration

Account Creation

  • Provide accurate, current, and complete information.

  • Maintain the confidentiality of your account credentials.

  • You are responsible for all activities under your account.

  • Notify us immediately of any unauthorized use.

Account Termination
We may suspend or terminate accounts that:

  • Violate these Terms

  • Have been inactive for 12 months

  • Engage in fraudulent or illegal activities

  • Harm other users or the ContentPass community

4. Use of Service

Permitted Use
ContentPass grants you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial purposes.

Event Check-In Requirements

  • You must be physically present at an event to check in.

  • GPS spoofing or other check-in fraud is strictly prohibited.

  • QR codes are single-use and may not be shared.

  • Only check in to events you are actually attending.

Content Creation and Sharing
By posting content, you:

  • Grant us a license to use your content (see Section 6).

  • Confirm you have the right to share the content.

  • Accept responsibility for the content you post.

  • Understand your content is visible to other verified event attendees.

5. Prohibited Conduct

You agree NOT to:

Content Violations

  • Post illegal, harmful, threatening, abusive, or harassing content.

  • Share sexually explicit or suggestive content involving minors.

  • Post content that infringes intellectual-property rights.

  • Share private information about others without consent.

  • Impersonate any person or entity.

Service Violations

  • Use automated systems to access the Service.

  • Attempt unauthorized access to any part of the Service.

  • Interfere with or disrupt the Service or servers.

  • Circumvent content-filtering techniques.

  • Use the Service for commercial purposes without permission.

  • Collect or harvest user data.

  • Create multiple accounts to evade suspension or termination.

Event-Specific Violations

  • Share event content with non-attendees during restricted periods.

  • Use fake location data to access events.

  • Sell or transfer event check-in access.

  • Violate venue-specific rules or guidelines.

6. Content Rights and License

Your Rights
You retain ownership of content you create and post on ContentPass.

License to ContentPass
By posting content, you grant ContentPass a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to:

  • Host, store, and display your content.

  • Distribute your content to other event attendees.

  • Create derivative works (e.g., thumbnails, compressed versions).

  • Use your content for Service improvement and machine learning.

  • Feature your content in promotional materials (with your permission).

This license continues for a commercially reasonable period after you delete content to allow for caching and backup systems.

License to Other Users
You grant other users a non-exclusive license to access and view your content as enabled by the Service.

Content Moderation
We may remove content that violates these Terms, suspend repeat offenders, and report illegal content to law enforcement.

7. Privacy and Data Protection

Your use of ContentPass is governed by our Privacy Policy. By using the Service, you consent to the collection and use of your information as outlined therein.

Location Services

  • Location access is required for event check-in.

  • We collect location data only when you explicitly check in.

  • Continuous location tracking is not performed.

8. Third-Party Services

Event Organizers

  • Event organizers may impose additional terms.

  • We are not responsible for event cancellations or changes.

  • Resolve disputes with organizers directly.

External Links
The Service may link to third-party sites or services. We are not responsible for their content or practices.

9. Disclaimers

Service Availability
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not guarantee that:

  • The Service will be uninterrupted or error-free.

  • Defects will be corrected.

  • The Service is free of viruses or harmful components.

  • Content will remain available indefinitely.

Content Accuracy
We do not endorse or guarantee the accuracy of user-generated content.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • ContentPass shall not be liable for indirect, incidental, special, consequential, or punitive damages.

  • Our total liability shall not exceed $100 or the amount you paid us in the past 12 months, whichever is greater.

  • These limitations apply regardless of the legal theory of the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless ContentPass, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service.

  • Your violation of these Terms.

  • Your violation of any rights of another party.

  • Your content.

12. Intellectual Property

ContentPass Property
The Service’s design, features, and content (excluding user content) are owned by ContentPass and protected by IP laws.

Trademarks
“ContentPass” and related logos are trademarks of ContentPass, Inc. You may not use them without permission.

Copyright Policy
We respect intellectual-property rights and respond to valid DMCA requests.
Report infringement to copyright@contentpass.app with:

  • Description of the copyrighted work.

  • URL of infringing content.

  • Your contact info.

  • Statement of good-faith belief.

13. Modifications

To Terms
We may modify these Terms at any time. Material changes will be communicated via:

  • In-app notifications.

  • Email to registered users.

  • Update to the “Last Updated” date.

Continued use after changes constitutes acceptance.

To Service
We may modify or discontinue any aspect of the Service at any time.

14. Termination

By You
You may terminate your account at any time through app settings.

By Us
We may suspend or terminate your account for violations of these Terms or for any reason, with or without notice.

Effect of Termination
Upon termination:

  • Your right to use the Service ceases immediately.

  • We may delete your account and content.

  • Sections that logically survive will remain in effect.

15. Dispute Resolution

Informal Resolution
Before filing a claim, you agree to attempt an informal resolution by contacting legal@contentpass.app.

Arbitration
Unresolved disputes shall be settled by binding arbitration under American Arbitration Association rules.

Exceptions

  • Claims may be brought in small-claims court if eligible.

  • Either party may seek injunctive relief for IP violations.

Class Action Waiver
Claims must be brought individually, not as part of a class action.

16. General Provisions

Governing Law
These Terms are governed by the laws of [Your State], without regard to conflict-of-law principles.

Entire Agreement
